Terms of Service

These Terms of Service (“Terms”) govern your access to and use of tessichealth.com and describe the framework under which Tessic Health, Inc. (“Tessic Health,” “we,” “us,” or “our”) offers its platform and services. By using the site, you agree to these Terms.

Acceptance of Terms

By accessing or using tessichealth.com, you agree to be bound by these Terms and by our Privacy Policy. If you are using the site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to the entity as well as to you personally.

Use of the Tessic Health platform itself — the clinical infrastructure, software, and operational services we provide to clients — is governed by a separately executed master service agreement and order form. Where those agreements conflict with these Terms, the executed agreements control for the platform services they cover. These Terms always govern your use of this website.

If you do not agree to these Terms, do not use the site.

The Services

This website describes Tessic Health’s white-label telehealth infrastructure: the software, provider-network coordination, pharmacy fulfillment relationships, and management services that let business clients launch and run telehealth clinics under their own brands. Through the site you can learn about the platform, request a demo, contact our team, and subscribe to our newsletter.

Tessic Health is a technology and management services organization. We do not practice medicine, and nothing on this site or in our platform constitutes the practice of medicine by Tessic Health. All clinical services within clinics operating on our infrastructure are rendered by independent, licensed professional entities and their credentialed providers under management services and friendly-PC arrangements. Those professional entities exercise sole authority over all clinical judgments.

This website is not a patient portal. No medical care is delivered through it, and no provider-patient relationship is formed by using it. Patients of clinics operating on Tessic Health infrastructure access care through their clinic’s own branded portal, under that clinic’s own terms and privacy notices.

No Medical Advice

The content on this site — including descriptions of treatment verticals, medications, clinical workflows, and outcomes — is provided for general informational and business purposes only. It is not medical advice, diagnosis, or treatment, and it is not a substitute for the judgment of a licensed healthcare professional.

References to medications or therapeutic categories describe the capabilities of the platform, not recommendations that any treatment is appropriate for any person. Decisions about care belong exclusively to licensed providers and their patients.

If you are experiencing a medical emergency, call 911 or your local emergency number immediately. Do not use this website to seek emergency care or to communicate about an urgent medical condition.

Accounts and Eligibility

The site and the services described on it are intended for business use by companies and their authorized representatives. To use the site or request our services, you must be at least 18 years old and capable of forming a binding contract.

If you are issued credentials for a demo environment, sandbox, or client account, you agree to provide accurate information, keep your credentials confidential, and notify us promptly at legal@tessichealth.com if you suspect unauthorized use. You are responsible for activity that occurs under your credentials.

We may suspend or terminate access to the site or any demo or sandbox environment at any time for conduct that violates these Terms or that we reasonably believe puts the platform, our clients, or their patients at risk.

Fees and Billing

Browsing this website is free. Platform services are sold under written order forms at the pricing published on our pricing page or otherwise agreed in writing: a flat monthly platform fee for the plan you select, plus a one-time setup fee that covers standing up your clinic — entity structuring, credentialing, pharmacy contracting, and launch. After setup, all plans bill month-to-month with no long-term commitment.

Usage pricing is deliberately simple: $25 per completed consult, and medication passed through from our pharmacy network at wholesale cost with a 0% markup. We do not take a revenue share — no percentage of your sales, subscriptions, or patient revenue, ever.

Fees are exclusive of taxes, which you are responsible for where applicable. If you believe an invoice contains an error, notify us within thirty days of the invoice date and we will work with you in good faith to resolve it. Amounts not disputed in good faith and left unpaid may result in suspension of platform services after written notice.

Client Ownership and Data Portability

Clients own their clinics in every sense that matters: their brand, their patient relationships, their medical records, and their data. Providers are credentialed under the client’s brand, and the legal structure of each clinic is drafted for the client’s ownership from day one.

If a client terminates services, we provide a complete export of the client’s data — patient records, subscription and billing history, and operational data — in commonly used, machine-readable formats, along with reasonable transition assistance. We do not hold data hostage, condition its return on new fees, or degrade export quality on the way out.

Ownership of client data does not transfer ownership of the platform. The software, infrastructure, workflows, and documentation that power Tessic Health remain our property, as described in the Intellectual Property section below.

Acceptable Use

You agree to use the site and any demo or sandbox environment lawfully and in good faith. Without limiting that obligation, you agree not to:

  • Use the site or services in violation of any applicable law or regulation, including healthcare, privacy, and prescribing laws.
  • Probe, scan, or test the vulnerability of our systems, or circumvent any security or access control, except under a written security-testing agreement.
  • Scrape, harvest, or bulk-download content or data from the site by automated means.
  • Misrepresent your identity or affiliation, or submit demo requests or forms on someone else’s behalf without authorization.
  • Upload or transmit malicious code, or interfere with the operation of the site or the platform.
  • Resell, sublicense, or white-label our services except under an executed client agreement that permits it.

Intellectual Property

The site and everything on it — text, design, graphics, software, and the platform it describes — are owned by Tessic Health or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the site for its intended purpose: evaluating and engaging with our services.

“Tessic Health,” “Tessic,” “Tessic Prescribe,” and our logos are trademarks of Tessic Health, Inc. You may not use them without our prior written permission. Client brands remain the property of our clients — white-label means the platform carries their name, not that we acquire rights to it.

If you send us feedback, suggestions, or ideas about the site or platform, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you. We appreciate feedback and want to be able to act on it.

Disclaimers and Limitation of Liability

The site is provided “as is” and “as available.” To the fullest extent permitted by law, Tessic Health disclaims all warranties with respect to the site, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or secure, or that its content is complete or current. Service-level commitments for the platform, where offered, are set out in the applicable client agreement, not in these Terms.

To the fullest extent permitted by law, Tessic Health will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost data — arising out of or related to your use of the site, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or related to the site will not exceed one hundred dollars ($100). Liability arising under an executed client agreement is governed by the limitations in that agreement.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where these limits are not permitted, our disclaimers and limitations apply to the fullest extent the law allows. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud or willful misconduct.

Governing Law, Changes, and Contact

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or your use of the site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page, and material changes will be flagged with a notice on the site. Your continued use of the site after changes take effect constitutes acceptance of the revised Terms. If any provision of these Terms is held unenforceable, the remaining provisions stay in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
